ATT buying T Mobile?

Deal falls though.
ATT now has to pat T Mobile 4 BILLION dollars (yes I said billion with a "B") for not going through with the deal.

My question is ...How do you enter into an agreement with terms like that?
The board of directors should be deep fat frying somebody's testicles over that one.

Surely something is being worked out, you don't just default on billions of dollars cause you don't want to go through with it.
